Incorporating

In the province of British Columbia, Canada, for operational, tax, and risk considerations, businesses can choose to operate as a Sole Proprietorship, Partnership, or Incorporation. To determine which is best for you, we recommend consulting with our lawyers. We can assist with the registration of Canadian federal and BC provincial limited liability companies (Incorporation), with the requirement that 25% of directors of Canadian federal companies must be permanent residents of Canada, while there are no requirements for foreign individuals registering a company in BC. Our specific services include:

  • Approval of company name application
  • Completion and submission of company registration application and preparation of company bylaws
  • Preparation of shareholder agreement
  • Obtaining the Certificate of Incorporation

If you require consultation and assistance, please contact our office first to provide the necessary documents for the registration application. The registration process can typically be completed within 8-10 business days.

Business Transaction

During the process of buying or selling a business, we can assist you in the following areas:

  • Reviewing lease agreements and franchise agreements
  • Conducting due diligence after signing the purchase and sale agreement, including examining the seller's tax compliance, financial credit, and any other violations
  • Completing the transfer and handover procedures

If any disputes arise during this process, we can assist with communication, mediation, and preparing for litigation.

For equity transfers in small businesses, we generally charge a fixed fee. If there are many documents and files that require lawyer review, we may charge an hourly rate of $200 per hour.
